Tiger Tool may in its discretion at any time require proof of the identity of any person seeking to access and use the Website, and may deny access to and use of the Website or parts of it or refuse to accept or act upon any communication if Tiger Tool is not satisfied with such proof.
If you have been issued Codes: (a) you are fully responsible and liable for the security of the Codes and any and all use and misuse of the Codes; (b) you will keep the Codes secure and confidential at all times and not disclose the Codes to any other person or permit any other person to use the Codes; (c) you will ensure that all uses of the Codes comply with this Agreement; (d) once you have logged-on to the Website using the Codes, you will not leave the computer terminal used to access the Website unless and until you have terminated the session and logged-off the Website; and (e) you will immediately notify Tiger Tool by telephone ( 1-800-661-4661) if you know or suspect that any of the Codes have been lost or stolen or become known to or used by any other person.

Accordingly, subject to applicable law, we: (a) reserve the right to change the prices of the goods and services advertised or offered for sale through this Website at any time and from time to time without notice or liability to you or any other person; (b) cannot guarantee that goods or services advertised or offered for sale on this Website will be available when ordered or thereafter; (c) reserve the right to limit quantities sold or available for sale; (d) do not warrant that product descriptions or other content of this Website are accurate, complete, reliable, current or error-free; and (e) reserve the right not to process orders (even accepted orders) where the price or material information on this Website is inaccurate. If you are a distributor using the Website, you agree to the Minimum Advertised Price Policy for Distributors as amended from time to time.
10. Payment
All prices and dollar amounts on this Website are quoted in the Website user’s local currency with the assistance of enabled location services. We only accept payment for goods and services that you order by valid credit cards that you are authorized to use. Your credit card will be charged when your order is submitted; however, we are able to reverse the amount charged in certain circumstances before the goods are shipped to you; for example, if you submitted an order in error and we are contacted directly before the goods are shipped to you. If the charge is not accepted, we reserve the right to cancel your order without notice or liability. We reserve the right to stop accepting credit cards from one or more issuers. You are responsible for and agree to pay, all applicable federal, provincial, municipal, local or other sales, use, excise, value-added, goods and services or other taxes, fees or charges arising from or related to your order of goods or services. Such amounts, along with shipping charges, are in addition to the prices indicated on this Website. Prices and product selection may differ from those found in our store or with our authorized dealers. This provision does not apply to the extent goods or services are not offered on this Website.
11. Risk of Loss
It is Tiger Tool’s policy that the risk of loss and title for all products purchased from this Website passes to you upon our delivery of the purchased products to the carrier. If you return goods to us for any reason, you are responsible for the loss and damage during shipping and until we receive the goods. This provision does not apply to the extent goods or services are not offered on this Website.

25. Governing Law and Disputes
These Terms and Conditions, your use of the Website and all related matters are and will be governed by, and construed and interpreted solely in accordance with, the laws of the Province of British Columbia, Canada and applicable federal laws of Canada, excluding any rules of private international law or the conflict of laws that would lead to the application of any other laws and excluding any law that implements the United Nations Convention on Contracts for the International Sale of Goods.
All disputes arising from, connected with or relating to these Terms and Conditions, your use of the Website or any related matter will be resolved before the Supreme Court of British Columbia sitting in the City of Vancouver, and you and Tiger Tool each hereby irrevocably submit and attorn to the original and exclusive jurisdiction of that court in respect of all disputes, except that Tiger Tool may in its discretion commence legal proceedings against you in the courts of any other jurisdiction seeking injunctive relief (or similar urgent legal remedies) to enforce these Terms and Conditions and protect Tiger Tool’s rights in, to and associated with the Website and its content.
26. Other Matters
No consent or waiver by Tiger Tool to or of any breach of these Terms and Conditions by you will be effective unless in writing and signed by Tiger Tool or will be deemed or construed to be a consent to or waiver of a continuing breach or any other breach by you. Except as expressly set forth in these Terms and Conditions, Tiger Tool’s rights and remedies under these Terms and Conditions are cumulative and not exhaustive or exclusive of any other rights or remedies to which Tiger Tool may be lawfully entitled under these Terms and Conditions or at law, and Tiger Tool will be entitled to pursue any and all of its rights and remedies concurrently, consecutively and alternatively. The provisions of these Terms and Conditions will enure to the benefit of and be binding upon you and Tiger Tool and your respective successors and permitted assigns. If any provision of these Terms and Conditions is held by a court or arbitrator of competent jurisdiction to be invalid or unenforceable for any reason, then the provision will be deemed severed from these Terms and Conditions and the remaining provisions will continue in full force and effect without being impaired or invalidated in any way, unless as a result of the severance these Terms and Conditions would fail in its essential purpose. You will not assign, transfer, delegate, license, sub-license or grant these Terms and Conditions or your rights, duties and obligations under these Terms and Conditions without Tiger Tool’s express prior written consent, which consent may be withheld in Tiger Tool’s discretion. Tiger Tool may, without your consent, assign these Terms and Conditions or any of Tiger Tool’s rights, duties or obligations under these Terms and Conditions.
In these Terms and Conditions: (a) a reference to “Terms and Conditions” and other similar terms refers to these Terms and Conditions as a whole, and not just to the particular provision in which those words appear; (b) headings are for reference only and do not define, limit or enlarge the scope or meaning of these Terms and Conditions or any of its provisions; (c) “persons” includes individuals, corporations, partnerships, joint ventures, associations, trusts, unincorporated organizations, societies and all other legal entities; (d) words importing the singular number only include the plural and vice versa; (e) words importing a gender include both genders; (f) “including” and “includes” mean including or includes (as applicable) without limitation or restriction; (g) “law” includes common law, equity, statutes, regulations, ordinances and orders in council, and reference to a specific law includes all regulations, and ordinances and orders in council and mandatory guidelines and directives made or issued under the law; and (h) “discretion” or any variation thereof used with respect to a party mean that party’s sole, absolute and unfettered discretion.
These Terms and Conditions set forth the entire agreement between you and Tiger Tool regarding your use of the Website. There are no representations, warranties, terms, conditions, undertakings or collateral agreements, express, implied or statutory, between you and Tiger Tool regarding the Website.
